Welcome to FulCent! These Terms of Service (“Terms”) govern your access to and use of the FulCent mobile application (“App”) and related services (collectively, the “Services”). By creating an account or using FulCent, you agree to be bound by these Terms.
If you do not agree with these Terms, you may not use our Services. Please read them carefully.
1. Acceptance of Terms
By accessing or using FulCent, you affirm that:
- You are at least 13 years old (or the minimum age in your jurisdiction)
- You have the legal capacity to enter into a binding agreement
- You will comply with these Terms and all applicable laws
- All information you provide is accurate and up to date
If you are using FulCent on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Services
FulCent is a financial management and collaboration platform that allows users to:
- Track Transactions: Record income, expenses, bills, and other financial activities
- Manage Workspaces: Create personal or business workspaces and invite members to collaborate
- Split Expenses: Automatically calculate and settle shared expenses among workspace members
- Budget Management: Set budgets, track spending, and receive alerts
- Inventory Tracking: Manage inventory items, stock levels, and restocking
- Approval Workflows: Configure transaction approval processes for business workspaces
- Audit Logs: View detailed history of transaction changes and approvals
- Reports & Analytics: Generate financial reports and insights (Pro plan)
- Archive & Restore: Archive inactive workspaces and restore them when needed
Features and availability may vary based on your subscription plan.
3. User Accounts
3.1 Account Creation
To use FulCent, you must create an account by providing:
- A valid email address
- A secure password
- Your full name
You may also sign in using third-party authentication services (Apple, Google).
3.2 Email Verification
You must verify your email address by entering the verification code sent to you before you can access the Services.
3.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your password
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
3.4 Account Termination
You may delete your account at any time by contacting support@fulcent.com. Upon deletion:
- Your personal data will be removed from active systems within 30 days
- Backup data may persist for up to 90 days
- Contributions to shared workspaces may remain visible to other members
4. Subscriptions and Payments
4.1 Subscription Plans

All new users receive a 7-day free trial with access to 3 workspaces and all features.
4.2 Payment Processing
Payments are processed through:
- Apple App Store: For iOS users, subject to Apple’s Terms and Conditions
- Google Play Store: For Android users, subject to Google’s Terms of Service
We do not store your credit card information. All billing inquiries should be directed to Apple or Google, as applicable.
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged through your Apple or Google account.
4.4 Cancellation and Refunds
You may cancel your subscription at any time through your Apple or Google account settings. Refund eligibility is determined by Apple or Google’s refund policies, not by FulCent.
Upon cancellation:
- You retain access to paid features until the end of your current billing period
- After expiration, your account is downgraded to read-only mode
- You cannot create new workspaces or transactions but can view existing data
4.5 Expired Subscriptions
If your subscription expires, you will have:
- Read-only access to all your workspaces and data
- No ability to create new workspaces or transactions
- Limited access to advanced features
You can reactivate your subscription at any time to regain full access.
5. User Responsibilities
5.1 Acceptable Use
You agree to use FulCent only for lawful purposes. You may not:
- Violate any applicable laws or regulations
- Infringe on the rights of others (intellectual property, privacy, etc.)
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or other users’ accounts
- Use the Services to commit fraud, money laundering, or other financial crimes
- Harass, threaten, or abuse other users
- Scrape, reverse engineer, or decompile the App
- Use automated tools (bots, scrapers) to access the Services
5.2 Content Responsibility
You are solely responsible for all content you create, upload, or share within FulCent, including:
- Transaction descriptions, amounts, and categories
- Notes, messages, and attachments
- Workspace names, descriptions, and settings
- Invitations to other users
You represent that you have the right to share such content and that it does not violate any third-party rights.
5.3 Data Accuracy
While FulCent provides tools to help you manage your finances, you are responsible for:
- Ensuring the accuracy of all financial data you enter
- Reconciling transactions with your bank statements
- Verifying calculations, splits, and settlements
- Complying with tax and accounting requirements in your jurisdiction
FulCent is not a substitute for professional financial, legal, or tax advice.
6. Workspaces and Collaboration
6.1 Workspace Ownership
The user who creates a workspace is the “Owner” and has full control, including:
- Inviting and removing members
- Assigning roles and permissions
- Configuring workspace settings (approval workflows, budgets, etc.)
- Archiving or deleting the workspace
6.2 Member Roles
Workspaces may have different member roles:
- Owner: Full control over the workspace
- Admin: Manage members, settings, and transactions (cannot delete workspace)
- Member: Create and view transactions, participate in splits
6.3 Leaving or Being Removed
You may leave a workspace at any time. If you are removed by an owner/admin:
- You lose access to the workspace and its data
- Your contributions (transactions, notes) remain in the workspace
- Outstanding balances are not automatically settled
6.4 Workspace Deletion
Only the workspace owner can permanently delete a workspace. Deleted workspaces and their data cannot be recovered.
7. Data Ownership and Licenses
7.1 Your Data
You retain all rights to the content and data you create in FulCent. We do not claim ownership of your financial data, notes, or other content.
7.2 License to Us
By using FulCent, you grant us a limited, non-exclusive, worldwide license to:
- Store, process, and transmit your content to provide the Services
- Create backups for disaster recovery
- Display your content to other members of your workspaces
- Generate anonymized, aggregated analytics (no personally identifiable information)
This license terminates when you delete your account or specific content.
7.3 Our Intellectual Property
FulCent, its logo, design, features, and underlying technology are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or distribute our software or content
- Use our trademarks or branding without permission
- Reverse engineer or attempt to extract source code
8. Privacy and Data Protection
Your use of FulCent is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. Key points include:
- Data Encryption: All data is encrypted in transit (HTTPS) and at rest (AES-256)
- No Data Selling: We never sell your personal information to third parties
- User Control: You can export, delete, or modify your data at any time
- Third-Party Services: We use Supabase (database), Resend (email), and Expo (app framework)
9. Third-Party Services and Integrations
FulCent integrates with third-party services, including:
- Apple Sign-In: Subject to Apple’s Terms and Conditions
- Google Sign-In: Subject to Google’s Terms of Service
- Payment Processors: Apple App Store and Google Play Store
We are not responsible for the practices, policies, or services of these third parties. Your use of their services is subject to their respective terms.
10. Disclaimers and Limitations of Liability
10.1 No Warranties
FulCent is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to:
- Merchantability, fitness for a particular purpose, or non-infringement
- Accuracy, reliability, or availability of the Services
- Uninterrupted or error-free operation
- Security of data transmission or storage
10.2 Not Financial Advice
FulCent is a tool for tracking and managing financial data. We do not provide financial, legal, tax, or investment advice. You should consult qualified professionals for such matters.
10.3 Limitation of Liability
To the fullest extent permitted by law, FulCent and its affiliates, officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from your use or inability to use the Services
- Damages caused by errors, bugs, or security breaches
- Disputes between workspace members
Our total liability to you for any claim arising from these Terms or your use of FulCent shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
10.4 Indemnification
You agree to indemnify, defend, and hold harmless FulCent and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your violation of these Terms
- Your use of the Services
- Your content or data
- Your violation of any third-party rights
11. Termination and Suspension
11.1 Termination by You
You may terminate your account at any time by contacting support@fulcent.com.
11.2 Termination or Suspension by Us
We reserve the right to suspend or terminate your account immediately, without notice, if:
- You violate these Terms
- You engage in fraudulent, abusive, or illegal activity
- Your account poses a security risk
- Required by law or government order
11.3 Effect of Termination
Upon termination:
- Your access to the Services is immediately revoked
- Your data will be deleted within 30 days (subject to legal retention requirements)
- You remain liable for any outstanding fees or obligations
- Provisions of these Terms that should survive (e.g., indemnification, disclaimers) will continue to apply
12. Changes to the Services and Terms
12.1 Service Updates
We may update, modify, or discontinue features of FulCent at any time, with or without notice. We are not liable for any changes or interruptions to the Services.
12.2 Terms Updates
We may revise these Terms from time to time. Changes will be effective when posted, with an updated “Last Updated” date. Material changes will be communicated via:
- In-app notification
- Email to your registered address
Your continued use of FulCent after changes are posted constitutes acceptance of the updated Terms.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-law principles.
13.2 Arbitration
Any dispute arising from these Terms or your use of FulCent shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except:
- Small claims court disputes (under $10,000)
- Disputes involving intellectual property rights
You waive the right to participate in class actions or class arbitrations.
13.3 Exceptions
Notwithstanding the arbitration provision, either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FulCent regarding the Services.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
14.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
14.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
14.5 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, pandemics, government actions).
